By accessing or using EnergyMo's website (energymo.ai), purchasing our products, downloading our mobile applications, or using any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our products and services. These Terms constitute a legally binding agreement between you and EnergyMo Inc. ("EnergyMo", "we", "us", or "our"). We may update these Terms from time to time, and your continued use of our services constitutes acceptance of any modifications.

"Products" refers to EnergyMo Ring and any accessories, sizing kits, charging equipment, and related physical goods. "Services" refers to the EnergyMo mobile application, website, cloud services, health insights, EnergyMo+ Membership, and any other digital services we provide. "Content" refers to all text, images, data, health metrics, insights, recommendations, and other materials available through our Services. "User", "you", or "your" refers to any individual who accesses or uses our Products or Services.

To use certain features of our Services, you must create an EnergyMo account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your password secure and confidential • Not share your account credentials with any third party • Notify us immediately of any unauthorized use of your account • Be responsible for all activities that occur under your account We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

All purchases through our website are subject to the following terms: • Order Acceptance: Placing an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including product availability, pricing errors, or suspected fraud. • Order Confirmation: An order is confirmed only when we send you an order confirmation email with a unique order number. Until then, no binding contract exists. • Product Availability: All products are subject to availability. We make reasonable efforts to maintain accurate inventory, but cannot guarantee that a specific item will be in stock at the time of your order. • Order Limitations: We may limit quantities per order or per customer at our discretion. • Order Cancellation: You may cancel an unshipped order by contacting our support team. Once an order has shipped, it is subject to our return policy.

• Currency: All prices are displayed in the currency applicable to your selected region and include applicable taxes unless otherwise stated. • Price Changes: We reserve the right to change prices at any time without prior notice. Price changes do not affect orders that have already been confirmed. • Payment Methods: We accept major credit cards (Visa, Mastercard, American Express), PayPal, Apple Pay, Google Pay, and other payment methods as available in your region. • Payment Processing: All payments are processed through secure, PCI-DSS compliant payment processors. We do not store your full credit card information on our servers. • Sales Tax & VAT: Applicable sales tax, VAT, or other duties are calculated based on your shipping address and are displayed during checkout. • Promotional Offers: Discount codes, promotional pricing, and special offers are subject to specific terms and expiration dates. They cannot be combined unless explicitly stated.

• Shipping Options: We offer standard and express shipping options. Delivery times and costs vary by destination and selected shipping method. • Delivery Estimates: Estimated delivery dates are provided for reference only and are not guaranteed. EnergyMo is not liable for delays caused by carriers, customs, weather, or other circumstances beyond our control. • Risk of Loss: Risk of loss and title for products pass to you upon delivery to the carrier. • International Shipping: International orders may be subject to import duties, taxes, and customs fees imposed by the destination country. These charges are the buyer's responsibility. • Tracking: Tracking information is provided via email once your order ships. You can also track orders in your EnergyMo account. • Delivery Issues: Please report any delivery issues (missing packages, damaged goods) within 14 days of the expected delivery date.

We want you to be satisfied with your EnergyMo purchase: • 30-Day Return Policy: You may return unused, undamaged products in their original packaging within 30 days of delivery for a full refund of the product price. • Sizing Kit: Free sizing kits do not need to be returned. • Condition Requirements: Returned products must be in their original condition, with all accessories, documentation, and packaging included. • Return Process: To initiate a return, contact our support team or go to your account's order history. We will provide a return authorization and shipping instructions. • Refund Processing: Refunds are processed within 5-10 business days after we receive and inspect the returned product. Refunds are issued to the original payment method. • Return Shipping: Return shipping costs are the customer's responsibility unless the return is due to a defect or our error. • Exchanges: We offer exchanges for different sizes within 30 days. Contact our support team to arrange an exchange. • Non-Returnable Items: Personalized or engraved products, opened sizing kits with used sizing samples, and gift cards are non-returnable.

• Subscription: EnergyMo+ Membership is a subscription service that provides access to advanced health insights, personalized recommendations, and premium features. • Free Trial: New EnergyMo Ring purchases include a complimentary 1-month trial of EnergyMo+ Membership. After the trial period, the membership will automatically convert to a paid subscription unless cancelled. • Billing: Membership fees are billed monthly or annually, depending on the plan you select. Prices are subject to change with 30 days' notice. • Auto-Renewal: Your membership automatically renews at the end of each billing cycle unless you cancel before the renewal date. • Cancellation: You may cancel your membership at any time through the EnergyMo App (Settings > Membership) or by contacting support. Cancellation takes effect at the end of the current billing period. • Refunds: Membership fees are non-refundable, except where required by law. If you cancel within the first 14 days of a new billing cycle, you may be eligible for a prorated refund. • Feature Access: Without an active membership, you will retain access to basic ring functionality (real-time heart rate, basic sleep tracking) but will lose access to advanced insights, historical trends, and personalized recommendations.

IMPORTANT: Please read this section carefully. • Wellness Purpose Only: EnergyMo Ring and related Services are designed for general wellness and fitness purposes only. They are NOT medical devices and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. • Not Medical Advice: The health insights, scores, recommendations, and data provided by EnergyMo are for informational purposes only and should not be considered medical advice. Always consult a qualified healthcare professional for medical concerns. • Individual Variation: Health metrics and insights may vary in accuracy based on individual physiology, ring fit, skin type, activity level, and environmental conditions. • Emergency Situations: Do not rely on EnergyMo products in emergency medical situations. Always call emergency services (911 or your local equivalent) for medical emergencies. • Proper Use: Use the EnergyMo Ring as directed in the user guide. Improper use may affect accuracy and could damage the device. • Allergies: The ring is made from hypoallergenic materials (titanium and medical-grade resin). If you experience any skin irritation, discontinue use and consult a healthcare professional.

• Coverage: EnergyMo Ring is covered by a 1-year limited warranty from the date of original purchase, covering defects in materials and workmanship under normal use. • What's Covered: Manufacturing defects, battery failures (below 80% capacity within warranty period), sensor malfunctions, and premature wear under normal use conditions. • What's Not Covered: Physical damage from drops, impacts, or crushing; damage from use beyond the rated water resistance depth (100m); cosmetic damage (scratches, dents) from normal wear; damage caused by unauthorized modifications or repairs; damage from misuse or failure to follow product guidelines. • Warranty Claims: To make a warranty claim, contact [email protected] with your proof of purchase and description of the issue. We may request photos or the return of the product for inspection. • Remedies: At our discretion, we will repair, replace, or refund the defective product. Replacement products may be new or refurbished with equivalent functionality.

All content, features, and functionality of EnergyMo products and services — including but not limited to software, algorithms, text, graphics, logos, trademarks, images, audio, video, data compilations, and the overall design and layout — are the exclusive property of EnergyMo Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use our products and services for personal, non-commercial purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on our products or services without our prior written consent.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: • EnergyMo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, health outcomes, goodwill, or other intangible losses. • Our total aggregate liability for any claims arising from or related to these Terms or your use of our products and services shall not exceed the amount you paid to EnergyMo in the twelve (12) months preceding the event giving rise to the claim. • We do not guarantee uninterrupted, secure, or error-free operation of our products or services. • These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if EnergyMo has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless EnergyMo Inc., its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our products or services, or your violation of any rights of a third party.

• By You: You may terminate your agreement with us at any time by closing your account and ceasing use of our products and services. • By Us: We may suspend or terminate your account and access to our services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. • Effect of Termination: Upon termination, your right to use our services ceases immediately. We may delete your account data after a reasonable retention period, subject to legal requirements. Any provisions of these Terms that by their nature should survive termination will survive.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our products and services shall first be attempted to be resolved through good-faith negotiations. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) in Wilmington, Delaware. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you waive any right to a jury trial.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email, through the EnergyMo App, or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our products and services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using our products and services.
